Terms of Service

The terms governing your use of workdaynegotiations.com, our white papers, our newsletter, and any consultation or engagement requested through the Site. Please read carefully.

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you and WorkdayNegotiations ("we," "us," "our") governing your access to and use of workdaynegotiations.com (the "Site") and any related content, white papers, newsletters, consultations, and proposals. By accessing the Site or submitting any form, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Who We Are

WorkdayNegotiations is an independent contract negotiation advisory focused exclusively on Workday, Inc. software agreements. We are not affiliated with Workday, Inc. and we do not act on Workday's behalf. References to Workday products, modules, editions, and pricing throughout the Site are descriptive only and remain the trademarks and intellectual property of their respective owners.

3. Use of the Site

You may access and use the Site for lawful purposes only. You agree not to: (a) attempt to gain unauthorized access to any portion of the Site or its underlying systems; (b) interfere with or disrupt the integrity or performance of the Site; (c) use the Site to transmit malicious code; (d) scrape or harvest content for commercial purposes without our prior written consent; or (e) misrepresent your identity or affiliation when submitting any form.

4. White Papers and Gated Content

Our white papers and other gated resources are provided for informational and educational purposes. To access gated content you must submit a valid business email address; submissions from common personal email domains are blocked because the materials are intended for enterprise procurement, IT, HR, and finance audiences. You may download and share the content internally within your organization. You may not republish, resell, or redistribute the content externally without our prior written consent.

5. Newsletter

"The Workday Negotiation Brief" is delivered to subscribers who opt in through the Site. You can unsubscribe at any time using the link in any issue. We may discontinue, pause, or change the newsletter format without notice.

6. Consultations and Engagements

Submitting a contact form does not create an advisory relationship or any obligation on our part to take on your engagement. We may decline an engagement for any reason, including conflicts of interest, capacity, or fit. Any advisory relationship is governed by a separate written engagement letter that will specify scope, deliverables, fees (Fixed Fee or Gain Share), confidentiality terms, and limitation of liability.

We offer two pricing models, each described on the relevant page of the Site:

The mechanics of savings verification, baseline construction, and timing are defined in the engagement letter and apply only to that engagement.

7. No Legal, Tax, or Investment Advice

Content on the Site — including white papers, blog posts, and newsletters — is general commercial advisory commentary and does not constitute legal, tax, accounting, or investment advice. You should engage your own qualified counsel and advisors before signing or amending any Workday agreement.

8. No Guarantees

Statistics published on the Site (such as "$28M+ savings," "500+ engagements," and "34% average reduction") describe aggregate historical outcomes across our portfolio. Past results do not guarantee any particular outcome on any future engagement. Negotiation outcomes depend on facts and circumstances unique to each agreement, including market timing, vendor strategy, and client constraints.

9. Intellectual Property

All content on the Site — text, graphics, layouts, code, white papers, methodologies, frameworks — is owned by WorkdayNegotiations or our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for personal or internal business use. All other rights are reserved.

10. Third-Party Links

The Site may link to third-party websites. We do not control and are not responsible for the content, policies, or practices of those sites. Linking does not imply endorsement.

11. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, WorkdayNegotiations and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or its content. Our aggregate liability arising from your use of the Site shall not exceed one hundred US dollars (US$100). This limitation is separate from any limitation negotiated in an engagement letter.

13. Indemnification

You agree to indemnify and hold harmless WorkdayNegotiations from any claims, damages, or expenses arising out of (a) your breach of these Terms, (b) your misuse of the Site or its content, or (c) your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Site at any time without notice for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 9 through 13 and 15 through 17) will continue in effect.

15. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
